1.1 These Terms and Conditions (“Terms”) form part of every agreement between Letterbox Distribution Ltd (“we”, “us”, or “our”) and the client (“you” or “the Client”) in respect of the services we provide.
1.2 These Terms supersede all prior agreements, understandings, and representations relating to such services. No amendment shall be effective unless agreed in writing by authorised representatives of both parties.
2.1 A contract arises only when we either:
Until such acceptance or commencement, no contract exists.
2.2 By placing an order, you agree to be bound by these Terms. Any client terms inconsistent with these Terms are excluded.
3.1 Distribution Services:
We will use reasonable skill and care to deliver your items according to the agreed schedule and distribution plan.
3.2 Number of Items per Address:
Unless otherwise agreed, one item will be delivered per household, except where evidence indicates multiple families
reside, in which case up to four items per address may be delivered. No deliveries will be made to commercial
properties unless agreed.
3.3 Estimated Coverage:
Distribution figures are estimates. A tolerance of 5% over or under the estimated total applies. We do not guarantee 100% coverage.
3.4 Safety and Discretion:
We reserve the right to refuse delivery to properties we consider unsafe or unsuitable.
3.5 Agency:
If we act as agent for a postal or third-party provider, you acknowledge a direct contractual relationship exists
between you and that provider, and their terms govern that service.
3.6 Print and Creative Services:
Where agreed, print and creative services will be governed by separate agreements. Intellectual property rights in
creative material we produce remain with us, subject to a licence granted to you.
3.7 Targeting Services:
Where we analyse postcode-level data, you warrant that all provided data is accurate, lawful, and non-personal.
Intellectual property rights in your data remain yours.
4.1 Materials:
You must provide sufficient and accurate materials, artwork, or files. All content must comply with applicable laws and not infringe intellectual property rights.
4.2 Approvals:
If proofs are provided, you must review and approve them within the required timeframe. Failure to approve
constitutes acceptance.
4.3 Indemnity:
You indemnify us against any claims, losses, or costs arising from your materials, including IP infringements,
offensive content, or breaches of codes.
5.1 Delays caused by you, your agents, or third parties are your responsibility.
5.2 We are not liable for delays due to events outside our control, including weather or third-party failures.
5.3 If delays occur, we will continue the campaign unless you instruct otherwise; extra costs remain your responsibility.
6.1 We may refuse to distribute items at our discretion.
6.2 You are responsible for ensuring compliance with all laws and industry standards.
6.3 Items must meet agreed specifications. Non-compliant items may be rejected or incur extra fees.
7.1 Complaints must be submitted in writing within 3 weeks, including evidence and addresses.
7.2 Complaints after this period may not be considered. Costs for investigating unfounded complaints may be charged.
8.1 Once accepted, full payment is due even if you cancel.
8.2 Third-party provider terms may also apply.
8.3 We may treat contracts as cancelled without refund in cases of non-compliance or insolvency.
9.1 Full payment (including VAT) is required before work starts.
9.2 If payment is not received, we have no obligation to perform services.
9.3 Late payments incur interest at 8% above Lloyds Bank base rate and administrative fees.
10.1 We do not exclude liability for death or personal injury caused by negligence.
10.2 Our maximum liability is limited to the contract price.
10.3 We are not liable for indirect or consequential losses, including lost profits or opportunities.
10.4 We do not guarantee campaign results or coverage beyond estimates.
11.1 We may accept responsibility for delivery of items to distribution points if you follow our requirements.
11.2 Items outside agreed weight, size, or packaging may incur fees or be rejected.
12.1 Increases in costs (e.g., regulatory, labour, transport) between order and completion may be passed on.
13.1 These Terms are governed by English law.
13.2 Both parties submit to the exclusive jurisdiction of the English courts.
